Terms of Service

These Terms govern your access to and use of our website, apps, NFC-enabled features, marketplace, and related services (the “Services”). By using the Services, you agree to these Terms and our Privacy Policy.

1) Accounts & Eligibility

  • You must be 18+ and able to form a binding contract.
  • Keep your credentials confidential; you’re responsible for activity under your account.
  • Provide accurate information and promptly update it.

2) User Content & License

  • You retain ownership of Content you upload (e.g., images, COAs, listings, text).
  • You grant AetherLabs a worldwide, non-exclusive, royalty-free license to host, process, transmit, display, and create technical copies of your Content solely to operate and improve the Services.
  • You represent that you have the necessary rights to upload and use the Content.

3) Prohibited Uses

You agree not to:

  • Violate laws or third-party rights (IP infringement, privacy violations, counterfeits).
  • Upload malware, attempt to bypass security, or scrape at scale.
  • Post unlawful, hateful, or sexually explicit content.
  • Interfere with or overload the Services. We may suspend or terminate accounts that violate these Terms.

4) Marketplace (If Enabled)

  • Listings: You are responsible for accuracy, authenticity claims, and legal compliance (including consumer laws and taxes).
  • Transactions & fees: Any fees will be disclosed at checkout or on a pricing page. Payment processing is handled by our provider (e.g., Stripe); their terms apply.
  • Disputes & refunds: Buyers and sellers are primarily responsible for resolving disputes. AetherLabs may, at its discretion, facilitate resolution but is not an insurer.
  • Counterfeits/fraud: Zero tolerance. We may remove listings and cooperate with authorities.

5) Certificates & NFC Features

  • Digital COAs and NFC tags are tools to record and verify information. They do not guarantee value, authenticity, or legal title.
  • Keep your tags/devices secure; lost or tampered tags may impact functionality.

6) Beta & Pre-Release Features

Some features may be labeled Beta. They are provided “as is” for testing and feedback and may change or be discontinued.

7) Plans, Billing & Taxes

  • Pricing and plan limits are shown in-product or on our site and may change with notice.
  • You authorize our payment processor to charge your selected payment method.
  • Fees are typically non-refundable unless required by law or stated otherwise.

8) Intellectual Property

  • The Services, including software, design, and trademarks, are owned by AetherLabs or its licensors.
  • No rights are granted except as explicitly stated in these Terms.

9) Third-Party Services

We integrate with providers such as Supabase, Vercel/AWS, Typeform, Stripe, and email providers. Their services are governed by their own terms and policies.

10) Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant uninterrupted, error-free operation or that content is accurate or reliable.

11) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AETHERLABS AND ITS AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. Our total liability for any claim is limited to the amounts you paid to us in the 12 months preceding the claim, or $100 CAD if none.

12) Indemnity

You agree to defend, indemnify, and hold harmless AetherLabs from claims arising out of your Content, your use of the Services, your violation of laws, or your breach of these Terms.

13) Termination

You may stop using the Services at any time. We may suspend or terminate access for any violation of these Terms, risk to other users, or legal/safety reasons. Upon termination, your license to use the Services ends.

14) Changes

We may update these Terms. Continued use after changes take effect constitutes acceptance. We’ll post the updated Terms with an updated Effective Date.

15) Governing Law; Venue

These Terms are governed by the laws of Newfoundland and Labrador, Canada, without regard to conflicts of law. The courts located in St. John’s, NL shall have exclusive jurisdiction, except where prohibited by law.
